Terms of Service
Welcome to Fixzo. These Terms of Service (“Terms”) govern your access to and use of the Fixzo platform, including our website, mobile applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.
1.DEFINITIONS
For purposes of these Terms:
- “Platform” means the Fixzo website, mobile applications, AI tools, messaging systems, and related services.
- “Service Seeker” means any user seeking services through the Platform.
- “Provider” or “Fixzer” means an independent contractor offering services through the Platform.
- “User” means any individual or entity accessing or using the Platform.
- “Provider Base Price” means the price independently set by a Provider for a service before any marketplace markup.
- “Services” refers to tasks or work performed by Providers.
2.WHO WE ARE
- If you reside in Canada, you are contracting with: Fixzo Technologies Canada Inc., an Alberta corporation.
- If you reside in the United States or elsewhere, you are contracting with: Fixzo Inc., a Delaware corporation.
“Fixzo,” “we,” “us,” and “our” refer to the applicable entity.
3.PLATFORM ROLE
Fixzo is a technology marketplace that connects Service Seekers and independent Providers. Fixzo acts solely as a technology platform facilitating these connections and is not the supplier of services.
Fixzo:
- Does not perform services.
- Does not employ Providers.
- Does not supervise or control work performance.
- Does not guarantee quality, safety, legality, licensing, or outcomes.
Fixzo is not a party to agreements formed between Service Seekers and Providers. Fixzo does not guarantee the availability of Providers or the completion of any service request. Users engage with one another at their own risk.
4.ELIGIBILITY
- Service Seekers must be at least eighteen (18) years old.
- Providers must be at least eighteen (18) years old.
By accessing or using the Platform, you represent and warrant that you meet these eligibility requirements.
5.ACCOUNT REGISTRATION
You agree to:
- Provide accurate information.
- Maintain updated contact details.
- Protect your login credentials.
- Not create fraudulent or duplicate accounts.
Fixzo may suspend or terminate accounts for violations.
6.IDENTITY VERIFICATION
- Providers must upload government-issued identification.
- Identity verification confirms account authenticity only.
- Fixzo does not conduct criminal background checks unless expressly stated.
- Verification does not guarantee safety, skill, or qualifications.
7.INDEPENDENT CONTRACTOR STATUS
Providers are independent contractors. Nothing in these Terms creates:
- Employment
- Agency
- Partnership
- Joint venture
Providers:
- Set their own pricing.
- Control their own methods.
- Supply their own tools.
- Determine their availability.
- Are responsible for taxes and regulatory compliance.
Providers agree to indemnify Fixzo against claims alleging employment status.
8.SERVICE LISTINGS AND PRICING
- Providers independently determine and set their Provider Base Price for services offered on the Platform.
- Fixzo may display a higher service price to Service Seekers than the Provider Base Price.
- The difference between the Provider Base Price and the price displayed to Service Seekers constitutes Fixzo's marketplace service fee.
- Fixzo charges Providers a listing and platform access fee equal to three percent (3%) of the Provider Base Price.
- Providers authorize Fixzo to deduct applicable fees from amounts collected through the Platform.
- Fixzo may modify its marketplace service fee or listing fee structure at its discretion, subject to applicable law and reasonable notice where required.
- Fixzo does not verify licensing, certifications, or qualifications unless expressly stated.
- Providers are solely responsible for ensuring compliance with applicable laws, licensing requirements, and regulatory obligations.
9.PAYMENTS
9.1Payment Processing
- Payments for services booked through the Platform are processed through third-party payment processors, including Stripe.
- By submitting payment information, Service Seekers authorize Fixzo and its payment processor to charge the total amount displayed at checkout, including applicable taxes and fees.
- A booking is confirmed once payment authorization or processing is successfully completed.
- Fixzo does not store full credit card details.
- Fixzo may act as merchant of record or marketplace facilitator where required by law.
- Fixzo may collect payments as a limited payment collection agent on behalf of Providers and facilitate payouts after deducting applicable platform fees, adjustments, or refunds.
9.2Provider Payouts
Providers are generally eligible for payout five (5) days after confirmed service completion, subject to:
- Dispute review
- Fraud investigation
- Chargeback monitoring
- Compliance review
- Risk management procedures
Fixzo may delay, suspend, or withhold payouts as reasonably necessary to investigate suspected fraud, policy violations, disputes, chargebacks, or other risk-related concerns. Fixzo may, where reasonably necessary, place temporary reserves on Provider accounts to manage fraud or chargeback risk.
9.3Refunds and Adjustments
Fixzo may, at its sole discretion, issue partial or full refunds to Service Seekers in connection with disputes, cancellations, fraud investigations, service dissatisfaction, or to maintain Platform integrity. Issuing a refund does not constitute an admission of liability and does not expand Fixzo’s obligations under these Terms.
9.4Offsets and Recovery Rights
Fixzo reserves the right to offset or deduct amounts owed to Fixzo from any current or future payouts to Providers, including but not limited to amounts arising from:
- Refunds issued to Service Seekers
- Chargebacks or payment reversals
- Fraud-related losses
- Dispute resolutions
- Violations of these Terms
If amounts owed exceed available payouts, the Provider remains responsible for the outstanding balance, and Fixzo may pursue lawful recovery methods.
9.5Third-Party Services Disclaimer
Fixzo relies on third-party service providers, including payment processors, banking partners, and technology vendors, to operate the Platform. Fixzo is not responsible for errors, outages, payment failures, delays, security breaches, or other issues caused by third-party service providers.
10.TAXES
- Service Seekers are responsible for applicable sales taxes, including GST, HST, PST, QST, or other local taxes.
- Taxes will be displayed at checkout before payment confirmation.
- Fixzo may collect and remit applicable sales taxes where required by law.
- Providers remain responsible for reporting and remitting income taxes and other applicable obligations.
- Nothing herein creates an employment or agency relationship.
11.CANCELLATION & FIT REVIEW
11.1Fit Review Window
Within thirty (30) minutes of booking confirmation, either party may cancel without penalty if the service is determined to be unsuitable or mis-scoped following initial communication. During this window:
- Full refund to Service Seeker.
- No cancellation fee.
- No Provider reliability penalty.
11.2Service Seeker Cancellation
- More than 12 hours before service → Full refund.
- Within 12 hours → Cancellation fee up to $3.00 or 10% of service price, whichever is lower.
- Failure to appear may result in a fee of up to 15%.
- Cancellation fees help offset administrative and payment processing costs.
11.3Provider Cancellation
If a Provider cancels:
- Service Seeker receives full refund.
- No monetary penalty is charged to the Provider.
- Repeated cancellations may result in reduced visibility, suspension, or termination.
11.4Refund Discretion
Fixzo may, at its sole discretion, issue partial or full refunds to Service Seekers to resolve disputes, maintain Platform integrity, address fraud or abuse, or protect user experience. Such refunds do not constitute an admission of liability and do not expand Fixzo’s obligations under these Terms.
12.PLATFORM COMMUNICATIONS
The Platform may provide messaging or communication functionality to facilitate interaction between Service Seekers and Providers. Service Seekers and Providers are solely responsible for the content of their communications. All communications must be lawful, respectful, accurate, and not misleading.
Service Seekers and Providers may not use the Platform to:
- Solicit or accept payment outside the Platform for services arranged through Fixzo.
- Share contact information, payment details, or other information for the purpose of circumventing the Platform or avoiding applicable fees.
- Engage in fraudulent, abusive, harassing, discriminatory, or unlawful conduct.
Fixzo does not control, endorse, or guarantee the accuracy, legality, quality, or appropriateness of any communications between Service Seekers and Providers. Fixzo is not responsible for any statements, representations, or agreements made between users through the Platform.
Fixzo reserves the right, but has no obligation, to monitor, review, restrict, filter, retain, or remove communications where reasonably necessary to enforce these Terms, investigate disputes, prevent fraud, protect the integrity of the Platform, or comply with legal obligations.
Attempts to circumvent the Platform may result in warnings, removal of content, reduced listing visibility, temporary suspension, or permanent termination of accounts at Fixzo’s sole discretion. Fixzo may retain communications for dispute resolution, fraud prevention, security monitoring, policy enforcement, and compliance with legal obligations.
13.HIGH RISK SERVICES
Certain services involve inherent risks, including but not limited to:
- Electrical work
- Plumbing
- Roofing
- Vehicle repair
- Heavy lifting
- Babysitting
- Elder care
Users acknowledge that participation in or engagement of such services involves inherent risks. Service Seekers and Providers engage in such services at their own risk. Fixzo does not perform services and does not guarantee the licensing, insurance coverage, qualifications, background, or competence of any Provider unless expressly stated in writing.
Users are solely responsible for evaluating the suitability, qualifications, and appropriateness of any service or Provider. Providers are solely responsible for the performance, safety, legality, and outcomes of the services they perform. To the fullest extent permitted by law, Fixzo shall not be responsible or liable for any property damage, personal injury, financial loss, or other harm arising from services performed by Providers.
14.AI DISCLAIMER
- AI tools provide informational assistance only.
- Fixzo does not guarantee accuracy, suitability, or outcomes.
- Users remain responsible for independent decision-making.
15.PROHIBITED ACTIVITIES
Service Seekers and Providers may not:
- Offer, request, or perform illegal services.
- Provide medical or healthcare services through the Platform.
- Circumvent the Platform's payment systems or arrange off-platform transactions for services introduced through Fixzo.
- Misrepresent identity, qualifications, licensing, or experience.
- Engage in fraudulent, deceptive, abusive, discriminatory, or unlawful conduct.
- Violate applicable laws or regulations.
- Infringe the intellectual property or other rights of any person.
- Use the Platform for purposes unrelated to legitimate service transactions.
Fixzo may investigate suspected violations and may, at its sole discretion, issue warnings, remove content, reduce listing visibility, suspend, or terminate accounts.
16.FIXZO SATISFACTION PROGRAM
Fixzo may, at its sole discretion, provide limited financial assistance for certain service-related issues. This program:
- Is discretionary.
- Is not insurance.
- Is not a guarantee.
- Does not expand liability.
- Is capped at $5,000 per incident.
Fixzo may modify or discontinue the program at any time.
17.NO WARRANTIES
The Platform is provided “as is” and “as available.” Fixzo disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
18.LIMITATION OF LIABILITY
To the fullest extent permitted by law, Fixzo is not liable for:
- Personal injury
- Property damage
- Lost profits
- Emotional distress
- Indirect or consequential damages
Fixzo is not responsible for the acts, errors, omissions, or negligence of Providers or Service Seekers. Fixzo’s total liability shall not exceed the greater of:
- $500; or
- The total service fees paid to Fixzo in the preceding 12 months.
This applies regardless of legal theory. Some jurisdictions may not allow certain limitations.
19.INDEMNIFICATION
You agree to indemnify and hold harmless Fixzo from claims arising out of:
- Services performed
- Injury or damage
- Regulatory violations
- Licensing violations
- Tax or employment misclassification claims
- Breach of these Terms
- Disputes between Service Seekers and Providers
20.DISPUTE RESOLUTION – CANADA
- Disputes shall be resolved by binding arbitration seated in Alberta.
- Small claims court claims may be brought where permitted.
- Nothing limits rights under applicable consumer protection laws.
21.DISPUTE RESOLUTION – UNITED STATES
- Disputes shall be resolved by binding arbitration administered by the American Arbitration Association.
- Proceedings must be individual only.
- Users waive class actions and jury trials.
- Small claims court claims may be brought individually.
22.GOVERNING LAW
- Canada: Alberta law.
- United States and International: Delaware law.
23.FORCE MAJEURE
Fixzo is not liable for events beyond its reasonable control.
24.ELECTRONIC COMMUNICATIONS
You consent to receive communications electronically.
25.PRIVACY
Use of the Platform is governed by the Fixzo Privacy Policy.
26.MODIFICATIONS
Fixzo may update these Terms at any time. Continued use constitutes acceptance.
27.ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Fixzo.
